In every business I've ever encountered in my career the board steers the company for the present and future and should have had a say in one of the biggest decisions that effect the school. On a side note I agree with the penalty and hope the Board does too but I think the President missed a step in the organizational structure by not communicating with the Board. A partner in my firm says you can never get in trouble for over-communicating to top management (unless you are communicating something illegal) and by delegating responsibility and receiving others input.
